Terms of Service

1. Acceptance

By creating an account or using Thola, you agree to these Terms of Service. If you do not agree, do not use the service. These terms form a binding agreement between you and Solvd Studio (Pty) Ltd.

2. What Thola does

Thola monitors eTenders.gov.za, reads government tender documents, scores tenders against your business profile, and notifies you of matches. It is intended to assist in discovering and evaluating tender opportunities.

Thola is currently in beta. Features may change, be paused, or be removed without notice. No service level agreement applies during the beta period.

3. Account responsibilities

• ▸You are responsible for maintaining the security of your account credentials.
• ▸You must provide accurate information when creating your profile.
• ▸You may not share your account or use the service on behalf of multiple businesses without separate accounts.
• ▸You must use the service only for lawful purposes.

4. Acceptable use

You may not:

• ✕Attempt to scrape, mirror, or extract tender data in bulk for resale or redistribution
• ✕Use automated tools to abuse the service or its agents beyond normal usage patterns
• ✕Use the service in connection with fraud, bid-rigging, or any unlawful procurement activity
• ✕Attempt to access other users' data or reverse-engineer the system

5. Your content and data

You own your data. Documents you upload to the Compliance Vault remain your property. By uploading them, you grant Solvd Studio a limited license to process those documents for the sole purpose of providing the service to you (specifically: extracting compliance metadata to match against tender requirements).

Solvd Studio does not sell, license, or share your compliance documents with third parties, other than the sub-processors listed in our Privacy Policy who are contractually bound to use them only for service provision.

6. Beta terms

• ▸The service is free during the beta period.
• ▸Pricing for paid plans will be announced before the end of beta. Beta users will receive advance notice.
• ▸Solvd Studio may modify, suspend, or discontinue any feature or the entire service during beta.
• ▸Beta users may be asked to provide feedback. Participation is voluntary.

7. Disclaimers

The service is provided “as is” without warranties of any kind.

• ▸Tender data accuracy: we source data from eTenders.gov.za but cannot guarantee it is complete, current, or error-free. Always verify closing dates and requirements on the official portal.
• ▸AI outputs: match scores, eligibility assessments, and Thola's responses are analytical tools, not professional advice. You are responsible for your own bid decisions.
• ▸Service availability: no uptime guarantee applies during beta.

8. Limitation of liability

To the maximum extent permitted by South African law, Solvd Studio's total liability to you for any claim arising from use of the service is limited to the amount you paid for the service in the three months preceding the claim. During the free beta period, this limit is R0. Solvd Studio is not liable for indirect, incidental, or consequential damages.

9. Termination

You may close your account at any time from the Profile settings page. Account deletion removes your personal data and compliance documents within 30 days.

Solvd Studio may suspend or terminate your account for breach of these terms, with notice where reasonable.

10. Governing law

These terms are governed by the laws of South Africa. Disputes will be resolved in the courts of South Africa. If any provision of these terms is found to be unenforceable, the remaining provisions remain in effect.
